
The sale of OCI Ammonia Holding includes the OCI Terminal Europoort (OTE), a large import and storage terminal in Rotterdam, the Netherlands, and OCI Ammonia Distribution (OAD), which delivers ammonia to external European customers.
However, OCI noted that it is still “evaluating strategic options” for its Geleen nitrogen fertiliser and ammonia plant in the Netherlands, a signal that the site could be earmarked for partial or full divestment or further restructuring.
The transaction between OCI and Agrofert is expected to close in H1 2026, subject to obtaining certain regulatory approvals, completing customary closing procedures, and shareholder approval.
After two years of reshaping its ammonia portfolio, the sale marks another move in OCI’s drive to simplify its business, following earlier non-core divestments and scaled-back investment plans.
Last year, the company agreed to sell its $2.35bn clean ammonia project in Beaumont, Texas, to Woodside Energy, with OCI retaining only a temporary role in construction and commissioning.
The Dutch company also sold its 50% stake in Fertiglobe to ADNOC last year, further underlining the company’s wider withdrawal from major ammonia and nitrogen assets.
